Your role
M&A Associate - UBS Securities LLC - New York, NY:
• Coordinate and execute investment banking (M&A) transactions, including company sales, company purchases, spin-offs, joint venture partnerships, minority investments, and strategic alternative discussions.
• Define, guide, and review detailed financial valuation analysis, including discounted cash flow, trading comparables, transaction comparables, and leverage buyout analyses.
• Prepare materials for fairness opinions and work on the underlying financial modeling in the context of U.S. public company M&A.
• Conduct financial analysis on pro forma company and merger consequences, including earnings per share accretion/dilution and value creation.
• Analyze precedent M&A transactions for specific project purposes, including share price reaction, premium paid, and governance arrangement.
• Create content regarding transaction timeline, M&A process considerations, outreach script and marketing materials.
• Review past and current accounting and financial records prepared under Generally Accepted Accounting Principles (GAAP) and International Financial Reporting Standard (IFRS) to advise clients on financial projection preparation and assessment.
• Conduct and monitor due diligence process of companies including site visits and management presentations.
• Build and develop relationships with clients through ongoing engagement and demonstration of financial and industry knowledge.
• Monitor analysts in the preparation and analysis of client presentations and transaction materials.
• Work with financial analysis and modeling; financial accounting and reporting (GAAP and IFRS) concepts; and, business and asset valuation.

Requirements:
• Master’s degree in Finance, Economics, Business Administration, or a related field of study, plus two (2) years of experience with financial analysis and modeling; financial accounting and reporting (GAAP and IFRS) concepts; and/or, business and asset valuation.
The salary range is $150,000 - $275,000 annually, based on factors including, but not limited to, experience, qualifications, education, location, & skill level.
